OVERVIEW
This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between USA Business and you, and is made effective as of the date of your use of this website (“Site”) or the date of electronic acceptance. This Agreement set forth the general terms and conditions of your use of the Site and the products and services purchased or accessed through this Site (individually and collectively, the “Services”), and is in addition to (not in lieu of) any specific terms and conditions that apply to the particular Services.
Whether you are simply browsing or using this Site or purchase Services, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with the following policies and the applicable product agreements, which are incorporated herein by reference:
ELIGIBILITY & AUTHORITY
This Site and the Services are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are (i) at least eighteen (18) years of age, (ii) otherwise recognized as being able to form legally binding contracts under applicable law, and (iii) are not a person barred from purchasing or receiving the Services found under the laws of the United States or other applicable jurisdiction.
General Terms and Conditions for Use of the Site
Rules.
While visiting the Site, you may not:
a) post, transmit or otherwise distribute information constituting or encouraging conduct that would constitute a criminal offense or give rise to civil liability, or otherwise use the Site in a manner which is contrary to law or would serve to restrict or inhibit any other user from using or enjoying the Site or the Internet;
b) post or transmit any information or software which contains a virus, cancelbot, trojan horse, worm or other similar, harmful or disruptive component; or
c) upload, post, publish, transmit, reproduce, or distribute in any way, information, software or other material obtained through the Site which is protected by copyright, or other intellectual property right, or derivative works with respect thereto, without obtaining permission of the copyright owner or right-holder.
In order to use the Service offered on this Site you must:
a) adhere to the terms of this Agreement;
b) be at least 18 years of age and of the age of majority in the jurisdiction where you reside;
c) be acting on behalf of a business, and not in your individual capacity as a consumer;
d) provide only accurate information concerning yourself and your business; and
e) assume responsibility for your acts through the Services.
Bids
This section of this Agreement describes the essence of the Services offered by us through this Site. Company is an agent or independent sales organization of certain payment processors or acquiring banks identified on the Site (collectively, the βProcessorsβ). By requesting bids on this Site you are submitting certain information (the βMerchant Dataβ) for the Company to review against the pricing and underwriting criteria of the Processors. Following such review, depending on the Merchant Data, Company shall use commercially reasonable efforts to present to you one or more bids which contain certain key pricing terms that a Processor may be able to provide to you subject to their underwriting of your business (each such bid being a βBidβ). You will then be allowed to select the Bid that your believe is the best fit for your business. Upon your selection of a given Bid, we will take that selection as a request from you to solicit you for a merchant account on behalf of one of our Processors that is capable of providing merchant services in a manner consistent with the Bid. Please note that the Bid contains key pricing terms, but not all the terms and conditions applicable to a merchant account. Prior to your selecting an individual Bid, we are not yet soliciting your merchant account, as we are not yet certain which Bid you prefer. However, upon your selection of a given Bid, we will contact you one behalf of the Processor that is capable of providing merchant services that are consistent with the terms of the Bid. Prior to your procuring any merchant account through our solicitation you will be presented with and asked to accept all of the terms and conditions of the given Processor applicable to the merchant account. Your selection of a Bid does not constitute the creation of an agreement or an offer of an agreement; instead it constitutes a request by you to be solicited by us on behalf of a given Processor for merchant services that are consistent with the terms of the Bid.
YOU ARE NOT GUARANTEED TO OBTAIN A MERCHANT ACCOUNT PURSUANT TO THE TERMS OF A GIVEN BID OR OTHERWISE. MERCHANT ACCOUNTS ARE PROVIDED BY OUR PROCESSORS THAT MUST UNDERWRITE YOUR APPLICATION. THE RATES POSTED IN A GIVEN BID ARE LIKELY TO CHANGE OVER TIME PURSUANT TO THE TERMS OF YOUR MERCHANT AGREEMENT WITH THE PROCESSOR THAT YOU SELECT; WE OFFER NO ASSUANCES AS TO PRICING WITH A GIVEN PROCESSOR REMAINING UNCHANGED, PARTLY BECAUSE PAYMENT NETWORKS AND OTHER SUPPLIERS ADJUST THEIR PRICING FROM TIME TO TIME, WHICH ADJUSTMENTS ARE OUT OF THE CONTROL OF BOTH OURSELVES AND THE PROCESSOR.
This Agreement is separate and distinct from your agreement with a Processor, if any, for merchant services.
No warranties
Our Services are provided to you on an as-is where-is basis and we do not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you as a result of your use of the Service will meet your expectations, or (v) that any errors in the Service will be corrected.
ACCOUNTS: TRANSFER OF DATA ABROAD
Accounts
In order to access some of the features of this Site or use some of the Services, you will have to create an Account. You represent and warrant to USA Business that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If USA Business has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, USA Business reserves the right, in its sole and absolute discretion, to suspend or terminate your Account. You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information secure, including without limitation your customer number/login, password, Payment Method(s) (as defined below), and shopper PIN. For security purposes, USA Business recommends that you change your password and shopper PIN at least once every six (6) months for each Account. You must notify USA Business immediately of any breach of security or unauthorized use of your Account. USA Business will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss USA Business or others incur caused by your Account, whether caused by you, or by an authorized person, or by an unauthorized person.
Transfer of Data Abroad
If you are visiting this Site from a country other than the country in which our servers are located, your communications with us may result in the transfer of information (including your Account information) across international boundaries. By visiting this Site and communicating electronically with us, you consent to such transfers.
AVAILABILITY OF WEBSITE/SERVICES
Subject to the terms and conditions of this Agreement and our other policies and procedures, we shall use commercially reasonable efforts to attempt to provide this Site and the Services on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that we undertake from time to time; or causes beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures. You acknowledge and agree that we have no control over the availability of this Site or the Service on a continuous or uninterrupted basis, and that we assume no liability to you or any other party with regard thereto.
You acknowledge and agree that you have the necessary rights and permissions to share all information necessary to provide the Services with USA Business. You acknowledge and agree that the Services may be provided by independent contractors or third party service providers.
GENERAL RULES OF CONDUCT
You acknowledge and agree that:
- Your use of this Site and the Services , including any content you submit, will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations.
- You will not collect or harvest (or permit anyone else to collect or harvest) any User Content (as defined below) or any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent.
- You will not use this Site or the Services in a manner (as determined by USA Business in its sole and absolute discretion) that:
Is illegal, or promotes or encourages illegal activity:
Promotes, encourages or engages in child pornography or the exploitation of children;
Promotes, encourages or engages in terrorism, violence against people, animals, or property;
Promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
Violates the Ryan Haight Online Pharmacy Consumer Protection Act of 2008 or similar legislation, or promotes, encourages or engages in the sale or distribution of prescription medication without a valid prescription;
Infringes on the intellectual property rights of another User or any other person or entity;
Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity;
Interferes with the operation of this Site or the Services found at this Site;
Contains or installs any viruses, worms, bugs, Trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware; or
Contains false or deceptive language, or unsubstantiated or comparative claims, regarding USA Business or USA Business’s Services.
- You will not copy or distribute in any medium any part of this Site or the Services , except where expressly authorized by USA Business.
- You will not modify or alter any part of this Site or the Services found at this Site or any of its related technologies.
- You will not access USA Business Content (as defined below) or User Content through any technology or means other than through this Site itself, or as USA Business may designate.
- You will not re-sell or provide the Services for a commercial purpose, including any of USA Business’s related technologies, without USA Business’s express prior written consent.
- You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
- You are aware that USA Business may from time-to-time call you about your account, and that, for the purposes of any and all such call(s), you do not have any reasonable expectation of privacy during those calls; indeed you hereby consent to allow USA Business, in its sole discretion, to record the entirety of such calls regardless of whether USA Business asks you on any particular call for consent to record such call. You further acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding in which USA Business is a party.
USA Business reserves the right to modify, change, or discontinue any aspect of this Site or the Services, including without limitation prices and fees for the same, at any time.
ADDITIONAL RESERVATION OF RIGHTS:
USA Business expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any Account or Services for any reason (as determined by USA Business in its sole and absolute discretion), including but not limited to the following:
to correct mistakes made by USA Business in offering or delivering any Services
to protect the integrity and stability of, and correct mistakes made by, any our partner,
to assist with our fraud and abuse detection and prevention efforts,
to comply with court orders against you and applicable local, state, national and international laws, rules and regulations,
to comply with requests of law enforcement, including subpoena requests,
to comply with any dispute resolution process,
to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or
to avoid any civil or criminal liability on the part of USA Business, its officers, directors, employees and agents, as well as USA Business’s affiliates, including, but not limited to, instances where you have sued or threatened to sue USA Business.
USA Business expressly reserves the right to review every Account for excessive space and bandwidth utilization, and to terminate or apply additional fees to those Accounts that exceed allowed levels.
USA Business expressly reserves the right to terminate, without notice to you, any and all Services where, in USA Business’s sole discretion, you are harassing or threatening USA Business and/or any of USA Business’s employees.
LINKS TO THIRD-PARTY WEBSITES
This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by USA Business. USA Business assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, USA Business does not censor or edit the content of any third-party websites. By using this Site or the Services found at this Site, you expressly release USA Business from any and all liability arising from your use of any third-party website.
Accordingly, USA Business encourages you to be aware when you leave this Site or the Services found at this Site and to review the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.
LIMITATION OF LIABILITY
In no event shall USA Business, its officers, directors, employees, agents, and all third party service providers, be liable to you or any other person or entity for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any that may result from:
the accuracy, completeness, or content of this site,
the accuracy, completeness, or content of any sites linked (through hyperlinks, banner advertising or otherwise) to this site,
the services found at this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site,
personal injury or property damage of any nature whatsoever,
third-party conduct of any nature whatsoever,
any unauthorized access to or use of our servers and/or any and all content, personal information, financial information or other information and data stored therein,
any interruption or cessation of services to or from this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site,
any viruses, worms, bugs, trojan horses, or the like, which may be transmitted to or from this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site,
any user content or content that is defamatory, harassing, abusive, harmful to minors or any protected class, pornographic, “x-rated”, obscene or otherwise objectionable, and/or
any loss or damage of any kind incurred as a result of your use of this site or the services found at this site, whether based on warranty, contract, tort, or any other legal or equitable theory, and whether or not USA Business is advised of the possibility of such damages.
In addition, you specifically acknowledge and agree that any cause of action arising out of or related to this site or the services found at this site must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action shall be permanently barred.
In addition, you specifically acknowledge and agree that in no event shall USA Business’s total aggregate liability exceed the total amount paid by you for the particular services that are the subject of the cause of action.
The foregoing limitation of liability shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of this agreement or your use of this site or the services found at this site.
FEES AND PAYMENTS
You acknowledge and agree that your Payment Method may be charged by USA Business.
GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS
You agree to pay any and all prices and fees due for Services purchased or obtained at this Site at the time you order the Services. USA Business expressly reserves the right to change or modify its prices and fees at any time, and such changes or modifications shall be posted online at this Site and effective immediately without need for further notice to you. If you have purchased or obtained Services for a period of months or years, changes or modifications in prices and fees shall be effective when the Services in question come up for renewal as further described below.
Except as prohibited in any product-specific agreement, you may pay for Services by utilizing any of the following “Payment Methods”:
by providing a valid credit card
via an electronic check from your personal or business checking account, as appropriate (and as defined below);
by using PayPal (as defined below).
INDEMNITY
You agree to protect, defend, indemnify and hold harmless USA Business and its officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorneys’ fees) imposed upon or incurred by USA Business directly or indirectly arising from (i) your use of and access to this Site or the Services found at this Site; (ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or (iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.
SUCCESSORS AND ASSIGNS
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.
- NO THIRD-PARTY BENEFICIARIES
Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. - COMPLIANCE WITH LOCAL LAWS
USA Business makes no representation or warranty that the content available on this Site or the Services found at this Site are appropriate in every country or jurisdiction, and access to this Site or the Services found at this Site from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this Site or the Services found at this Site are responsible for compliance with all local laws, rules and regulations. - TITLES AND HEADINGS; INDEPENDENT COVENANTS; SEVERABILITY
The titles and headings of this Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein. Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law.
TERMS OF SERVICE AGREEMENT INCORPORATION & BANKING SUPPORT SERVICES
This Incorporation & Banking Support Services Agreement (this “Agreement”) is entered into by and between One Business, LLC, a Limited Liability Company (“USA Business”) and you, and is made effective as of the date of electronic acceptance. This Agreement sets forth the terms and conditions of your use of USA Business’s Incorporation & Banking Support Services (the “Services”).
Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with (i) USA Business’s Universal Terms of Service Agreement, and (ii) any plan limits, product disclaimers or other restrictions presented to you on the Incorporation & Banking Support Services landing page of the USA Business website (this “Site”), both (i) and (ii) of which are incorporated herein by reference.
- Purpose and Scope of Application
These Terms of Business are intended to govern the business relations between USA Business ( USA Business) and its clients (“Client”). On the basis of these Terms of Business, USA Business shall provide the Client with various services such as the foundation of Incorporation services (“Incorporation”) and some additional related services (“Additional Services”) as well as the assistance in relation with the opening of bank accounts opening support services (“Bank Account Support”).
These Terms of Business shall form an integral part of any agreement concluded between the Client and USA Business on the execution of the USA Business order form either by way of online order or paper form (“Agreement”). By entering into an Agreement with USA Business, the Client accepts these Terms of Business. A price list and a list of services are available on the website of USA Business (www.oneibc.com).
Any Terms of Business which deviate from, contradict or supplement these Terms of Business shall not become a part of any Agreement, unless otherwise specifically agreed in writing between the Client and USA Business.
- Content and Scope of the Services
Incorporation and Additional Services
USA Business can perform the service of incorporating a Company for the Client, in the jurisdictions specified in the list available on the website of USA Business (www.oneibc.com). USA Business can also organise the supply, either by USA Business’s affiliated companies or third parties, of Additional Services such as the supply of nominee directors, nominee shareholders, Internet merchant account, company logo, company seal, company rubber stamp, power of attorney, notarisation and Apostille on documents. Affiliated companies means, in relation to USA Business, a subsidiary or a holding company of USA Business or any other subsidiary of that holding company.
All Additional Services will be provided on the basis of a specific agreement between the Client and the relevant provider of the Additional Services, except for seals, stamps and logos, notarisation and Apostille.
Bank Account Opening Support Services
USA Business can perform the service of assistance in relation with the opening of a bank account for the Client. In this framework, USA Business may propose to the Client a list of banks, but it is the Client who is responsible for the choice of the bank. The Client may choose a bank either among the list of banks provided by USA Business or a third party bank (“Bank”). The successful setting-up of complementary services such as credit cards, chequebooks or Internet banking access is not guaranteed and is offered “as is”.
- Right To Refuse Services
USA Business reserves the right to refuse any and/or all its services to any Client without giving any reason or explanation thereto, and cannot, under any circumstances, be held responsible for such refusal. - Legal Advice
While USA Business endeavors to provide true and correct information on all its services, it is not providing legal advice. The Client is responsible for ensuring that he/she has taken all necessary tax and legal advice with regard to the establishment and operation of the Company and for ensuring that the activities will not breach the law of any relevant jurisdiction. - Anti-Money Laundering and Due Diligence
The Client shall provide USA Business with such information as USA Business considers necessary in order to ensure that the Company complies with applicable legislation on anti-money laundering and due diligence. The client is responsible for ensuring that the information provided to USA Business is correct. The client also represents to USA Business that assets or funds introduced to a Company do not represent either directly or indirectly the proceeds of a crime or other illegal activity. In order to enable USA Business to meet its legal obligation, the Client shall keep USA Business fully and promptly informed of any changes in the beneficial ownership, shareholding and officers of the company. - Obligations of The Client
The Client is obliged to provide the following at the time of the signature of Standard Virtual Office, Virtual Office Premium, and Virtual Office Full:
A copy of the proof of identity of the Client;
A copy of the signed status of the Client’s company (by-laws and Articles of Associations);
A copy of the Register of Directors of the Client’s company;
A copy of the Certificate of Incorporation of the Client’s company;
A postal proxy;
And in any event, please immediately inform USA Business of any changes relating to the documents mentioned above, its legal form and its corporate purpose, as well as any changes pertaining to the name and personal address of the persons who have the power to bind the company.
- Fees
General
The Client agrees to pay the fees charged by USA Business. USA Business schedule of fees can be found in the price list available on the website of USA Business (www.oneibc.com). In addition to the fees mentioned on the website, the Client agrees to pay any out-of-the-pocket expenses in particular, but not limited to, those incurred in convening or attending meetings of the directors, shareholders or secretaries, calling or attending any extraordinary general meetings of the company, preparing any forwarding any notice or statement and all other like expenses.
USA Business starts an execution phase only after the receipt of the full payment of the fees. All fees and charges are payable in the currency nominated by USA Business, which is usually US Dollar. The Client is not authorised to withhold fees and interests due to any service, guarantee or liability-related claims. In the same manner, any right of off-set on the part of the Client is hereby excluded.
Incorporation services
The Client shall owe USA Business a one-time set-up fee for enabling the foundation of a Company in addition to the annual fees. The set-up fee varies according to the jurisdiction and includes a company head office (address), a registered agent and all the documents required for the company to be fully operational from the first day of registration, i.e.: the Certificate of Incorporation issued by the local Registrar; the Memorandum and Articles of Association; the resolution relating to the nomination of director and the distribution of shares; and the share certificate(s). The annual fee is a one-time charge per year paid upon registration or renewal of registration. It includes the on-going verification that the company complies with local laws as well as the renewal of the head office, of the registered agent and of the governmental charges from the jurisdiction in question.
The annual fee is non-refundable
The Client shall owe USA Business all other fees such as government fees, duties, taxes and other third party disbursements together with nominee directors or shareholders fees and transfer fees, including disbursements and any out-of-pocket expenses. The Client acknowledges the right of USA Business to review annual fees. Any amendment in the fee structure will be notified to the Client at least one month prior to the commencement of the services for the period to which the fees relate.
Bank Account Opening support services
The Client shall owe USA Business a one-time fee for its service regarding the opening of a bank account. This set-up fee can be changed at any time without prior notice. The set-up fee is quoted in US Dollar (USD). The client will pay the set-up fee before USA Business begins the performance of the service
The Client is expressly informed that USA Business may receive from the Bank finder’s fees or retrocession of the banking fees requested from the Bank in connection with activity of the account (such as inter alia fiduciary deposit commissions, net brokerage fees, securities administrations fees, in-house discretionary management mandate fees). The amount of such retrocession will have no effect on the banking fees. By accepting the present Terms of Business, the Client expressly renounces to claim the payment of such retrocession. The Client is free to request from USA Business any available information on the nature, amounts or whatsoever related to the retrocession.
- Communication and Instructions
The Client and USA Business may send to each other instructions, notices, documents or any other communication either by mail, email or by fax, PROVIDED ALWAYS, that USA Business may send fee notes by email message attachment. The Client and USA Business shall keep all instructions, notices, documents or any other communication as a matter of proof. Each communication shall be addressed, if to USA Business, at its registered office or at such other address as USA Business may, by notice in writing, notify to the Client from time to time and, if to the Client, at his/her address or at such other address as the Client may, by notice in writing, notify to USA Business from time to time, including holding mail instructions that shall be agreed upon in writing. So that USA Business may at all times be able to contact the Client should the need arise, the Client agrees to inform USA Business immediately upon changing his/her address and email address or telephone/fax number. - Legal Incapacity
USA Business cannot be held responsible if the Additional Services cannot be set up. USA Business’s liability regarding Additional Services is strictly limited to a duty of care in selection, instruction and supervision of its affiliated companies or any other third parties.
Damage or loss resulting from the use of postal services, telegraph, telex, fax, telephone, other means of communications or means of transportation, especially loss resulting from delay, misunderstanding, mutilation, abuse by third parties or duplication of copies, shall be borne by the Client, unless USA Business has acted with gross negligence. This paragraph applies also to the Standard Virtual Office, Virtual Office Premium, and Virtual Office Full services.
In the specific case of a bank account opening support, USA Business is a third party to the relationship between the Bank and the Client. Therefore, under no circumstance can USA Business be held responsible of the relationship between the Bank and the Client. USA Business has no authority to act and does not purport to act as an employee, representative or officer of any Bank and/or to sign on behalf or otherwise incur any liability of any sort on behalf of any Bank.
- Duration, Termination, Suspension of Services and Refund
Incorporation services
Any Agreement for the operation of a company is for one complete year. In the event that the Client terminates the Agreement or requests USA Business to transfer the management of the Company to another agent or corporate service provider or to liquidate the Company, USA Business will not transfer or liquidate the Company until all outstanding disbursement, expenses and/or fees (including but not limited to, government fees, duties, taxes and other third party disbursements together with nominee directors or shareholders fees and a transfer fee β¦) have been paid in full.
USA Business may refuse to forward to the Client the corporate documents relating to the Company as long as the mentioned mandate agreement is not signed.
Refund: The Client will receive a full refund of the set-up fee minus courier charges if the following three conditions are met: (i) USA Business is not able to incorporate the Company for the Client AND (ii) USA Business has received all the necessary documents duly completed by the Client, including a copy of the Client’s valid identity document which has been authenticated according to the exact instructions of the Agreement conduct with regard to the exercise of due diligence and any document which USA Business has requested from the Client, such as but not limited to utility bills not older than three months, his/her curriculum vitae, a bank reference letter (full documents required for incorporation as bellow) AND (iii) the request for the refund after the payment of the incorporation fee by the Client.
Documents Required for Incorporation, it is conditions required to incorporate for each country.

Bank Account Opening support services
The service ends with the opening of the account by the Bank and all relations thereafter are between the Client and the Bank.
Refund:
Any Client can decide to cancel his/her application in the three (3) calendar days following his/her application for the opening of a bank account. The Client will receive a full refund of the Services fee minus courier charges if the following three conditions are met: (i) the Bank with the assistance of USA Business is not able to arrange appointment for the Client and Bank AND (ii) USA Business or the Bank has received all the necessary documents duly completed by the Client, including a copy of the Client’s valid identity document which has been authenticated according to the exact instructions of the Agreement conduct with regard to the exercise of due diligence and any document which USA Business has requested from the Client, such as but not limited to credit card statement, utility bills, work contract, Certificate of Incorporation or other evidence of the economic origin of the funds AND (iii) the request for the refund after the payment of the services by the Client.
NO REFUNDS WILL BE OFFERED, FOR ANY REASON, IF THE CLIENT DECIDES TO CANCEL HIS/HER/ITS APPLICATION AFTER THREE CALENDAR DAYS

To execute the services, USA Business reserves the right to engage subcontractors who are within its authority. Rights and obligations of the Client resulting from any agreement can only be transferred to third parties with the written consent of USA Business. - Contact Us

REFUND POLICY
Here are our Standard Terms for products and services eligible for a refund:
You acknowledge and agree that where refunds are issued to your Payment Method, USA Business’s issuance of a refund receipt is only confirmation that USA Business has submitted your refund to the Payment Method charged at the time of the original sale, and that USA Business has absolutely no control over when the refund will be applied towards your Payment Method’s available balance. You further acknowledge and agree that the payment provider and/or individual issuing bank associated with your Payment Method establish and regulate the time frames for posting your refund, and that such refund posting time frames may range from five (5) business days to a full billing cycle, or longer.
I. Incorporation Services
The Client will receive a full refund of the set-up fee minus courier charges if the following three conditions are met:
(i) USA Business is not able to incorporate the Company for the Client AND
(ii) USA Business has received all the necessary documents duly completed by the Client, including a copy of the Client's valid identity document which has been authenticated according to the exact instructions of the Agreement conduct with regard to the exercise of due diligence and any document which USA Business has requested from the Client, such as but not limited to utility bills not older than three months, his/her curriculum vitae, a bank reference letter (full documents required for incorporation as bellow) AND
(iii) the request for the refund after the payment of the incorporation fee by the Client.
II. Bank Account Opening Support Services
Any Client can decide to cancel his/her application in the three (3) calendar days following his/her application for the opening of a bank account. The Client will receive a full refund of the Services fee minus courier charges if the following three conditions are met:
(i) the Bank with the assistance of USA Business is not able to arrange appointment for the Client and Bank AND
(ii) USA Business or the Bank has received all the necessary documents duly completed by the Client, including a copy of the Client's valid identity document which has been authenticated according to the exact instructions of the Agreement conduct with regard to the exercise of due diligence and any document which USA Business has requested from the Client, such as but not limited to credit card statement, utility bills, work contract, Certificate of Incorporation or other evidence of the economic origin of the funds AND
(iii) the request for the refund after the payment of the services by the Client.

V. Other Services
For other services, we will refund to you if we can not delivery services to you. In case services delivered and information from us to you by email, these services can not refund.
The terms “we”, “us” or “our” shall refer to USA Business. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts this Agreement, has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
USA Business may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services. In addition, USA Business may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your shopper account (“Account”) information current. USA Business assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.
